MEMBERSHIP TERMS OF USE

These Membership Terms of Use (the “Terms”) are entered into between you (“Member,” “you,” or “your”) and Sassy Studio Co. LLC doing business as The Sassy Math Teacher (“Company,” “we,” “us,” or “our”). These Terms govern your purchase of and access to The Math That Clicks Club (the “Membership”), including the membership portal, resource library, trainings, community spaces, Company-approved tools, and related content made available through maththatclicks.com, members.maththatclicks.com or any related website or platform.

By purchasing, accessing, or using the Membership, or by clicking to accept these Terms at checkout, you agree to be bound by these Terms, our Privacy Policy, and any policies incorporated by reference. If you do not agree, do not purchase, access, or use the Membership.

You must be at least eighteen (18) years old and legally able to enter into a binding agreement. A school, district, employer, or other organization that purchases access for an educator is also responsible for ensuring that each authorized user follows these Terms.

1. THE MEMBERSHIP

The Math That Clicks Club is an educational membership designed to help educators plan and teach middle school math lessons using classroom resources, instructional materials, professional learning, and the Math That Clicks Framework. The specific resources, features, bonuses, grade levels, standards, tools, and delivery schedule included in your purchase are those described on the applicable sales page and checkout page at the time of purchase.

The Membership may include downloadable files, editable or non-editable templates, slides, worksheets, task cards, assessments, videos, audio, written instruction, live or recorded trainings, prompts, custom GPTs or other Company-approved tools, community access, and future updates (collectively, “Membership Content”).

The Membership is an evolving library. We may add, update, replace, reorganize, archive, or discontinue particular resources or features. Unless a specific item, standard, delivery date, or service is expressly promised in writing on the sales page, checkout page, or order confirmation, no individual resource or feature is guaranteed to remain available indefinitely.

Access continues only while your Membership is active and paid. Downloaded Membership Content remains subject to these Terms after cancellation or expiration. Community access, live support, Company-approved tools, and portal access end when your paid access ends unless otherwise stated in writing.

2. ACCOUNT ACCESS AND SECURITY

Your login is for one individual educator only. You may not share your username, password, download links, portal links, or access credentials with another person. You are responsible for activity under your account and must notify us promptly at support@thesassymathteacher.com if you believe your account has been accessed without permission.

We may use reasonable technical measures to protect Membership Content, including download limits, watermarks, account monitoring, device or IP review, and access suspension when we reasonably suspect account sharing, scraping, mass downloading, or other misuse.

3. BILLING, AUTOMATIC RENEWAL, AND PAYMENT AUTHORIZATION

By purchasing a recurring Membership, you authorize Company and its payment processor to charge the payment method on file automatically until you cancel or the Membership is otherwise terminated.

Monthly Memberships.

Monthly Memberships are billed on the same numerical calendar day each month as your original purchase date. If a month does not contain that date, the charge may be processed on the last available day of that month or on the payment processor’s next available processing date. Monthly billing continues automatically until canceled.

Annual Memberships.

Annual Memberships are billed in full at purchase and automatically renew each year on or about the anniversary of your original purchase date. The payment method on file will be charged the then-current annual price unless you cancel before the renewal charge is processed. We will provide any renewal notice required by applicable law.

Prices, Taxes, and Failed Payments.

Prices are shown on the applicable checkout page. You are responsible for applicable taxes. We may change the Membership price, but a price change for an existing recurring Member will apply only after any notice required by law and no earlier than the next renewal period. If a payment is declined, reversed, disputed, or otherwise not completed, we may retry the charge, suspend access, or terminate the Membership. You remain responsible for valid charges incurred before cancellation.

4. CANCEL ANYTIME

You may cancel future renewals at any time through Kajabi. Your cancellation is effective when it is successfully submitted through the available cancellation method. Keep your cancellation confirmation for your records.

You must cancel before your next billing or renewal charge is processed to avoid that charge. Cancellation does not reverse a charge that has already been processed and does not create a right to a prorated refund, except where the Alignment Guarantee below applies or where required by law.

After cancellation, you may continue to access the Membership through the end of the period you already paid for, unless your access is terminated for a violation of these Terms. “Cancel Anytime” means that you may stop future recurring charges at any time. It does not mean that completed monthly or annual charges are refundable.

5. REFUND POLICY AND 7-DAY ALIGNMENT GUARANTEE

Monthly Memberships.

Monthly Membership payments are non-refundable. You may cancel at any time to prevent future monthly charges, and your access will continue through the end of the paid monthly period.

Annual Memberships: 7-Day Alignment Guarantee.

The first purchase of an Annual Membership is covered by a seven (7) calendar-day Alignment Guarantee. This guarantee is intended to help you confirm that the Membership aligns with the math skills and standards you need. It does not apply to monthly payments, annual renewal charges, prior membership periods, expired requests, or purchases made through a third-party marketplace that controls its own refund process.

To request a refund under the Alignment Guarantee, you must email support@thesassymathteacher.com no later than 11:59 p.m. Eastern Time on the seventh calendar day after your initial Annual Membership purchase. Your request must include:

  • the email address used for your purchase;
  • the grade level, course, standards set, and specific skill or skills you expected to find;
  • a clear description of what is missing or does not align; and
  • an express request for a refund under the 7-Day Alignment Guarantee.

A general statement that you changed your mind, did not have time to use the Membership, no longer need the Membership, or forgot to cancel does not satisfy the Alignment Guarantee. Requests received after the seven-day deadline are not eligible.

If you discover that a needed skill is not currently taught in the Membership, you may submit a resource or skill request through the skill request form. We welcome those requests, but submitting a request does not guarantee that a resource will be created by a particular date and does not extend the seven-day refund deadline.

Approved refunds will be issued to the original payment method. We do not control payment-processor or bank posting times. Once a refund is approved, your Membership access and all licenses granted under these Terms end immediately, and you must stop using and delete all downloaded Membership Content.

6. SINGLE-USER CLASSROOM LICENSE

Your purchase grants one named educator a limited, revocable, non-exclusive, non-transferable, single-user license to use Membership Content for that educator’s own classroom instruction with the students personally assigned to that educator. The license follows the purchasing educator, not the school, department, district, or device.

Permitted Classroom Use.

  • Print or photocopy Membership Content for your own currently assigned students.
  • Display Membership Content during your own live or recorded classroom instruction, provided recordings are accessible only to your own students and are not publicly posted.
  • Assign digital resources to your own students through a password-protected learning management system or closed classroom platform that is accessible only to those students and appropriate school personnel.
  • Edit files only where editing is technically enabled and only to meet the instructional needs of your own students, while keeping all copyright notices, watermarks, branding, and attribution intact.

Prohibited Sharing and Use.

  • Do not share Membership Content with another teacher, teammate, department, school, district, tutor, coach, parent, business, or organization unless that person has a separate active license or a separate written multi-user license has been purchased.
  • Do not post Membership Content on a public website, shared drive, unrestricted LMS, social media page, file-sharing site, marketplace, or repository where anyone other than your own students can access or download it.
  • Do not resell, sublicense, gift, distribute, publish, translate for distribution, or use Membership Content in a product, service, course, tutoring package, professional development, or resource offered to other educators.
  • Do not remove or obscure copyright notices, logos, watermarks, metadata, terms-of-use pages, credits, or other ownership information.

Schools and districts must purchase one license for each educator who will access or use Membership Content unless Company expressly approves a different license in writing.

7. NO UPLOAD TO CHATGPT OR OTHER ARTIFICIAL INTELLIGENCE TOOLS

Except for a Company-approved tool made available as part of the Membership and used exactly as instructed, you may not upload, paste, submit, transmit, import, scan, or otherwise provide any Membership Content, in whole or in part, to ChatGPT or any other generative artificial intelligence, large language model, machine-learning, model-training, content-generation, summarization, transcription, image-generation, data-analysis, or automated processing system. This restriction includes tools such as Claude, Gemini, Copilot, Perplexity, NotebookLM, and similar present or future platforms, even when a platform offers a private, paid, enterprise, or “do not train” setting.

You may not use an AI tool or automated process to recreate, summarize for redistribution, reverse engineer, extract, imitate, remix, translate, convert, or generate derivative or competing materials based on Membership Content. You also may not use scraping, bots, browser automation, bulk downloading, optical character recognition, or similar methods to collect or reconstruct Membership Content.

Company-Approved Tools.

When the Membership includes a custom GPT, generator, prompt, or other Company-approved tool, you may use that tool only for your own classroom use and in accordance with its instructions. You may not attempt to reveal system prompts, hidden instructions, source files, datasets, templates, logic, or security measures; use the tool to create products for sale or distribution; or use outputs to recreate a competing tool, membership, framework, or resource library.

8. PROTECTION OF THE MATH THAT CLICKS FRAMEWORK

The Math That Clicks name, framework, branded terminology, five-part structure, diagrams, descriptions, training materials, implementation guides, examples, and related expression are proprietary to Company. This includes the branded components “Safe Start,” “Curiosity Hook,” “Click-It Instruction,” “Purposeful Practice,” and “Learning Pulse,” together with Company’s explanations, sequence, graphics, templates, and training materials (collectively, the “Framework Materials”).

You may use the Framework Materials internally to plan and teach lessons in your own classroom. You may not, without prior written permission, copy, publish, distribute, sell, license, present, certify, train others in, or create a course, membership, professional development, coaching service, resource line, or competing framework based on the Framework Materials. You may not rename the branded components and present substantially copied Framework Materials as your own.

This section does not prevent you from using general teaching strategies, instructional ideas, or pedagogical concepts that are independently known, independently developed, or not protected by law. It protects Company’s branding, original expression, selection and arrangement, templates, confidential training details, and Membership Content.

9. RESOURCE AND SKILL REQUESTS

Members may suggest a math skill, standard, topic, format, feature, activity, lesson, tool, or resource for possible inclusion in the Membership (“Request”). Requests are voluntary, non-confidential, and submitted without any expectation of exclusivity, payment, royalties, credit, approval rights, or ownership in anything Company creates.

Company may use, adapt, combine, decline, prioritize, develop, publish, sell, license, or otherwise commercialize a Request in its discretion. Company exclusively owns all right, title, and interest in any resource, lesson, template, tool, file, design, answer key, training, or other work Company creates in response to or inspired by a Request, including all drafts, revisions, and derivative works. A Member who requested a skill or resource does not become a co-author, joint owner, client, or exclusive licensee of the resulting work.

You retain ownership of any pre-existing original material that you created independently and submit with a Request. By submitting that material, you grant Company a non-exclusive, worldwide, royalty-free license to review and use it solely to evaluate or respond to the Request unless you separately agree in writing to broader use. Do not submit materials owned by your school, district, another creator, a publisher, or any third party unless you have permission.

10. TESTIMONIALS, REVIEWS, COMMENTS, AND SCREENSHOTS

When you voluntarily submit feedback about the Membership, including a review, testimonial, survey response, success story, direct message, email, community post, comment, photograph, video, or screenshot, you represent that your statements are honest, accurate, and based on your genuine experience.

You grant Company a non-exclusive, worldwide, royalty-free license to reproduce, display, publish, crop, format, and edit that Membership-related feedback for length, spelling, grammar, clarity, or privacy, without materially changing its meaning, for Company’s educational, promotional, advertising, and marketing purposes in any media. Company may take and use screenshots of Membership-related comments or posts and may identify you by first name, last initial, username, profile image, educator role, grade level, school type, city, or state as shown in the original submission.

Company will not knowingly fabricate a testimonial, materially change its meaning, or present a result as typical when doing so would be misleading. Company may redact student names, student images, school names, or other sensitive information. Private coaching communications and messages clearly marked “private” will not be used as testimonials without separate permission.

No compensation is owed for use of voluntarily submitted feedback unless Company separately agrees in writing. You may request that Company stop using your testimonial in new marketing by emailing support@thesassymathteacher.com. Company will make reasonable efforts to honor future-use requests, but materials already printed, scheduled, archived, or incorporated into existing campaigns may not be recalled.

11. COMMUNITY AND COMMUNICATION SERVICES

The Membership may include a private community, comments, office hours, chats, virtual meetings, or other communication features. You agree to communicate respectfully and not harass, threaten, defame, discriminate against, impersonate, spam, solicit, or infringe the rights of another person. You may not share another Member’s private information, resources, posts, recordings, or business information outside the Membership without permission.

Company may monitor, remove, or restrict content or access in its discretion to protect the community, enforce these Terms, or comply with law. Company is not responsible for statements, advice, files, links, or conduct of other Members. Participation is at your own judgment and risk.

12. STUDENT INFORMATION AND PRIVACY

Do not submit personally identifiable student information, confidential education records, student photographs, student work containing identifying details, disability information, assessment records, or other protected data to Company, a Membership community, a Company-approved tool, or any third-party platform unless you have all required permissions and your school or district authorizes the disclosure. Use fictional names, initials, or de-identified examples whenever possible.

You are responsible for following your school’s or district’s policies and all laws applicable to your classroom use, including privacy, accessibility, copyright, and student-data requirements. Company does not act as your school, district, records custodian, or legal compliance advisor.

13. OWNERSHIP AND INTELLECTUAL PROPERTY

All Membership Content and Framework Materials are owned by Company or its licensors and are protected by copyright, trademark, trade dress, contract, and other intellectual property laws. Your purchase provides only the limited license stated in these Terms. No ownership is transferred to you.

You may not copy, reproduce, publish, display, distribute, sell, sublicense, create derivative works from, reverse engineer, or commercially exploit Membership Content except as expressly permitted in the Single-User Classroom License. Unauthorized sharing or use may cause irreparable harm. Company may suspend or terminate access and pursue available legal remedies, including injunctive relief, actual damages, statutory damages, and reasonable attorneys’ fees where permitted by law.

Company’s names, logos, slogans, product names, framework names, designs, and branding may not be used without prior written permission. All third-party names and marks belong to their respective owners.

14. EDUCATIONAL DISCLAIMER AND NO GUARANTEE OF RESULTS

The Membership provides educational resources and professional learning. It does not provide legal, financial, tax, medical, psychological, special-education compliance, curriculum-adoption, or other licensed professional advice. You are responsible for deciding whether and how to use any resource with your students and for reviewing all content, directions, examples, answers, standards references, accessibility, and alignment before classroom use.

We work to provide accurate and useful materials, but errors, broken links, formatting differences, software incompatibilities, standards updates, and differing district interpretations may occur. Notify us at support@thesassymathteacher.com if you identify an issue so we can review it.

We do not guarantee student achievement, assessment results, engagement, sales, professional advancement, time savings, or any particular classroom outcome. Results vary based on the educator, students, schedule, technology, curriculum, implementation, and other circumstances beyond Company’s control.

15. THIRD-PARTY PLATFORMS AND AVAILABILITY

The Membership may rely on third-party platforms, including payment processors, hosting providers, email providers, community platforms, Canva, Google, Microsoft, or artificial intelligence providers. Company does not control those platforms and is not responsible for their outages, policy changes, account restrictions, data practices, feature changes, or discontinuation. We may replace a platform or delivery method when reasonably necessary.

Access may be interrupted for maintenance, updates, security, events beyond our reasonable control, or third-party outages. We do not guarantee uninterrupted or error-free access.

16. SUSPENSION AND TERMINATION

We may suspend or terminate your Membership without refund if you share an account, distribute Membership Content, upload Membership Content to an unauthorized AI tool, misuse a Company-approved tool, infringe intellectual property, violate community rules, fail to pay, engage in fraud or chargeback abuse, threaten or harass others, or otherwise materially violate these Terms.

Upon termination or expiration, your right to access the portal, community, tools, and Membership Content ends. If termination results from your breach, all licenses end immediately and you must delete all Membership Content in your possession or control. Sections that by their nature should survive, including payment obligations, license restrictions, intellectual property, requests, testimonials, disclaimers, limitations of liability, dispute resolution, and general provisions, will survive.

17. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE MEMBERSHIP AND MEMBERSHIP CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF DATA, REVENUE, PROFITS, GOODWILL, OR USE; OR CLAIMS ARISING FROM THIRD-PARTY PLATFORMS, CLASSROOM IMPLEMENTATION, OR MEMBER CONDUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE MEMBERSHIP WILL NOT EXCEED THE AMOUNT YOU PAID TO COMPANY FOR THE MEMBERSHIP DURING THE SIX (6) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO SOME OF THIS SECTION MAY NOT APPLY TO YOU.

18. INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Company and its owners, officers, employees, contractors, affiliates, and licensors from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys’ fees arising from your misuse of the Membership, your classroom or commercial use of Membership Content, your violation of these Terms, your violation of another person’s rights, or content or data you submit. RESOLUTION OF DISPUTES

19. RESOLUTION OF DISPUTES

You hereby expressly waive any and all claims you may have, now or in the future, arising out of or relating to this Membership, the Company, any and all contracts you enter into with the Company, and any and all of the Company’s products and services.

To the extent that you attempt to assert any such claim, you hereby expressly agree to present such claim only through binding arbitration to occur in Atlanta, Ga. You further agree to and do hereby waive any right to class arbitration and agree, instead, to conduct an arbitration related solely to any individual claims you and/or any entity related to you asserts against the Company. To the fullest extent permissible by law, you further agree that you shall be responsible for all costs associated with initiating the arbitration and for the administration of the arbitration.

20. INTERNATIONAL USERS

The Service is controlled, operated and administered by the Company from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the Company Content accessed through the Membership in any country or territory or in any manner prohibited by any applicable laws, restrictions or regulations.

21. CHANGES TO THE MEMBERSHIP OR THESE TERMS

The Company reserves the right, in its sole discretion, to change the Terms under which the Website is offered. The most current version of the Terms will supersede all previous versions. The Company encourages you to periodically review the Terms to stay informed of our updates.

 

22. GENERAL PROVISIONS

Entire Agreement.

These Terms, the applicable checkout page, order confirmation, Privacy Policy, and any signed addendum constitute the entire agreement concerning the Membership and supersede prior discussions or representations about the same subject. If a sales page or checkout page expressly promises a benefit that conflicts with these Terms, the more specific written promise will control only for that benefit and purchase.

Assignment.

You may not assign or transfer your Membership, account, or rights under these Terms. Company may assign these Terms in connection with a merger, acquisition, sale of assets, reorganization, or transfer of the Membership business.

Severability and Waiver.

If a provision is held invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver of the right to enforce it later.

No Partnership.

Nothing in these Terms creates an employment, partnership, joint venture, agency, fiduciary, franchise, or client-professional relationship between you and Company.

Electronic Communications and Signatures.

You consent to receive transactional communications electronically and agree that electronic acceptance, records, notices, and signatures satisfy any requirement that they be in writing, to the extent permitted by law.

Force Majeure.

The Company shall not be liable or responsible to you, nor be deemed to have defaulted or breached this Agreement, for any failure or delay in performing any term of this Agreement if caused by acts or circumstances beyond the reasonable control of the Company including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion, or hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, epidemic, lock-outs, strikes or other labor disputes (whether or not relating to either party’s workforce), server failures, data breaches, data loss or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.
